Sea Launch подписал контракт на запуск спутника AsiaSat

Международный консорциум Sea Launch ("Морской старт"), ведущий мировой оператор пусковых услуг, подписал контракт с Asia Satellite Telecommunications Company Limited (AsiaSat) на запуск ее спутника при помощи ракеты-носителя "Зенит-3SL" со своего морского космодрома, сообщила агентству "Интерфакс-Украина" пресс-секретарь консорциума Пола Корн (Paula Korn).

Пуск планируется осуществить в период с 2012-го по 2014 год.

AsiaSat - ведущий спутниковый оператор Азии, входит в состав Asia Satellite Telecommunications Holdings Limited, акции которой котируются на Гонконгской бирже. Спутниковая группировка AsiaSat из трех спутников обслуживает две трети населения мира.

По данным Sea Launch, в консорциуме рассчитывают на развитие долгосрочного сотрудничества с крупнейшим азиатским оператором.

Sea Launch - один из крупнейших мировых операторов пусковых услуг, предоставляющий услуги по запуску при помощи ракеты-носителя "Зенит-3SL" коммерческих спутников с морского космодрома в Тихом океане.

С 2008 года по соображениям экономической целесообразности коммерческие запуски модернизированного "Зенита" с космическими аппаратами массой до 4,5 тонны осуществляются с космодрома "Байконур" (Казахстан) в рамках программы Land Launch ("Наземный старт"), а свыше 4,5 тонны – с морского космодрома.

В созданный в 1995 году консорциум Sea Launch входят американская компания Boeing (40% акций), британско-норвежская компания Kvaerner Group, (20% акций), конструкторское бюро "Южное" и производственное объединение "Южмаш" (Украина, 15% акций), а также РКК "Энергия" (Россия, 25% акций).

За 10 лет пусковой деятельности, с марта 1999 года, в рамках проекта осуществлено 30 пусков, 28 из которых были успешными. В рамках Land Launch - с апреля 2008 года осуществлено 3 пуска.

В июне 2009 года компания добровольно объявила о банкротстве в связи с мировым финансовым кризисом.

В мае компания подготовила и подала на рассмотрение суда по делам о банкротстве штата Делавэр (США) план реорганизации Sea Launch, подготовленный компанией в рамках предусмотренной ст.11. Кодекса США о банкротстве процедуры банкротства. Ожидается, что план реорганизации будет утвержден судом на слушании 27 июля.

Sea Launch намерен возобновить пусковую деятельность в 2011 году. Согласно ранее озвученным компанией планам, на 2011 год планируется три старта, на 2012 год - не менее четырех.

AsiaSat-Sea Launch Contract Will Require Court Approval

PARIS — Satellite fleet operator AsiaSat of Hong Kong and commercial launch services provider Sea Launch Co. have entered into a contract designed to end their year-long dispute and provide Asiasat with a launch of a future satellite for no more than $98 million, the companies said.

The agreement, announced July 12 by Long Beach, Calif.-based Sea Launch, must be approved by the Delaware Bankruptcy Court overseeing Sea Launch's Chapter 11 bankruptcy reorganization. Sea Launch currently expects to emerge from bankruptcy by September on the strength of a financial lifeline provided by RSC Energia of Korolev, Russia, which manufactures the upper stage of Sea Launch's Zenit 3SL rocket.

Under this scenario, Sea Launch could return to flight in mid- to late 2011.

AsiaSat is one of numerous unsecured creditors in the Sea Launch bankruptcy due to its May 2006 contract to launch the AsiaSat 5 satellite aboard a Sea Launch vehicle. AsiaSat had paid $31.5 million in milestone payments to Sea Launch under that contract.

Sea Launch entered Chapter 11 bankruptcy in June 2009. AsiaSat, concerned that its launch schedule could not be assured, switched suppliers and ultimately paid $95 million to International Launch Services (ILS) of Reston, Va., for an August 2009 launch aboard an ILS Proton vehicle.

Unsecured creditors do not have top priority in being repaid in U.S. Chapter 11 bankruptcy proceedings, which are designed to maximize the chances of survival of the company seeking reorganization and protection from its creditors.

It was thus far from certain whether AsiaSat could realistically hope to recover its $31.5 million deposit. As the months passed and it became increasingly likely that Sea Launch would return to operations, AsiaSat agreed to a compromise.

In contracting with Sea Launch, AsiaSat is adding strength to Sea Launch's business plan and making it more likely that the launch-services provider will win court approval for its reorganization and emerge from Chapter 11.

Under the deal, signed July 8 and disclosed by AsiaSat to the Hong Kong Stock Exchange in a document dated July 9, Sea Launch will provide AsiaSat with a $16.5 million credit to be used for a future launch.

The launch, to occur between January 2012 and December 2014 for a satellite not yet identified, is priced at between $105 million and $114 million, with the final figure depending on when the launch occurs.

Subtracting the credit, the net cost to AsiaSat will be between $88.85 million and $97.85 million.

"[T]he entering into the launch services contract provides the company with a better recovery position of the claim and is a better alternative to the recovery proposal," AsiaSat said in its stock exchange filing.

The contract also gives AsiaSat the right to terminate the deal if it concludes, before it begins making fresh milestone payments, that Sea Launch is incapable of meeting the launch dates because of hiccups in production of rocket hardware or other issues.

If AsiaSat terminates the contract, Sea Launch will make a cash payment of 17.5 percent of the agreed credit, or $2.83 million, according to AsiaSat.

AsiaSat has one satellite, formerly called AsiaSat 5C and now named AsiaSat 7, under construction at Space Systems/Loral of Palo Alto, Calif. It is also reviewing options for a satellite to be called AsiaSat 6, AsiaSat Chief Executive Peter Jackson said in a July 13 e-mail. No decision has been made on which satellite will be launched under the Sea Launch contract.

"We have to see how they come out of bankruptcy and start to launch again," Jackson said of the contract's conditions. "We have done this to get a good deal and of course to assist in the business plan that they will be submitting to the court."

Bankrupt Sea Launch signs contract with AsiaSat

Sea Launch netted a contract last week to send an unspecified AsiaSat communications satellite to orbit between 2012 and 2014, strengthening the company's backlog as it hopes to emerge from bankruptcy later this year.

AsiaSat will assign a satellite to the launch slot at a later date, according to a Sea Launch statement released Monday. The spacecraft will launch on a Zenit 3SL rocket from the Odyssey platform in the Pacific Ocean.

"We are very pleased that we have arrived at this agreement, which will be beneficial for both Sea Launch and AsiaSat," said Kjell Karlsen, president and general manager of Sea Launch. "We're looking forward to successfully executing this mission with AsiaSat and we appreciate the confidence and trust that AsiaSat has placed with Sea Launch."

AsiaSat currently has one satellite under construction at Space Systems/Loral for launch in late 2011. The firm is leading satellite operator in the Asia-Pacific region.

"We are excited to take part in the future growth of this important satellite operator," Karlsen said in a statement.

The AsiaSat deal adds another contract to Sea Launch's backlog, which was nearly emptied in 2009 as the company filed for Chapter 11 bankruptcy protection. Satellite operators moved more than a half-dozen payloads to rival Proton and Ariane rockets due to fears of lengthy launch delays on Sea Launch.

Intelsat and Eutelsat both moved some of their satellites to other launch providers, but the companies kept their contracts with Sea Launch and vowed to assign new payloads to the Zenit rocket.

AsiaSat moved their newest satellite from Sea Launch to the Proton rocket. AsiaSat 5 successfully blasted off in August 2009.

"We are pleased to conclude a launch service contract with Sea Launch to support the launch of one of our future satellites," said Peter Jackson, chief executive officer of Hong Kong-based AsiaSat. "The Zenit 3SL launch vehicle is based on a mature, flight-proven design. We look forward to a satisfactory launch service provided by this highly reliable launch system."

Sea Launch now has four announced missions planned after the AsiaSat agreement, but there are more launch deals waiting to be unveiled after the company emerges from bankruptcy, according to Paula Korn, a Sea Launch spokesperson.

The pending announcements were delayed at the request of Sea Launch's customers, Korn said in an e-mail.

Sea Launch expects to win approval of its plan of reorganization in a Delaware bankruptcy court hearing July 27, the statement said.

Energia Overseas Ltd., a subsidiary of the Russian aerospace giant Energia, plans to purchase 85 percent of the stock in Sea Launch for $140 million in cash. The unsecured creditors, or firms that acquired a stake in Sea Launch in exchange for owed debts, will collectively hold 15 percent ownership in the reorganized launch business, according to court filings.

In addition to the stock purchase, Energia is providing $200 million in working capital to Sea Launch.

Sea Launch is on track to exit Chapter 11 bankruptcy by October, the company's statement said.

The resumption of normal operations will lead to a flight of the company's Land Launch subsidiary in the first quarter of 2011. The return-to-flight launch from the Baikonur Cosmodrome in Kazakhstan will haul the Intelsat 18 communications satellite to orbit.

Sea Launch's next flight from the ocean-based Odyssey launch platform is scheduled for the third quarter of 2011, Korn said.

Karlsen said in a May interview that the Sea Launch mission in mid-2011 would likely carry a Eutelsat or Intelsat communications satellite.

LONG BEACH, Calif., July 22, 2010 – Sea Launch Company, a leading provider of launch services to the commercial satellite industry, has signed an agreement with a subsidiary of EchoStar Satellite Services L.C.C., a wholly owned subsidiary of EchoStar Corporation (Nasdaq: SATS), providing EchoStar with the ability to launch up to three satellites on the Sea Launch system.

Sea Launch expects to launch the satellites using the reliable Zenit-3SL launch vehicle from its equatorial launch site at 154 degrees West Longitude, in international waters of the Pacific Ocean. Sea Launch has successfully launched previous EchoStar satellites, including EchoStar IX in 2003.

"We are very excited to have the opportunity to launch new spacecraft for EchoStar," said Kjell Karlsen, president and general manager of Sea Launch. "This new agreement reinforces our long-term relationship with EchoStar."

This is one of several new launch agreements that Sea Launch has signed recently, building a healthy manifest as the company moves forward toward successfully exiting Chapter 11 in the third quarter of 2010. On May 10, 2010, Sea Launch filed its Plan of Reorganization and Disclosure Statement. Sea Launch anticipates court confirmation of its Plan of Reorganization at a hearing in the U.S. Bankruptcy Court in Delaware, scheduled for July 27, 2010.

Согласно плану российская компания приобретает 85%  Sea Launch за $140 млн. долл. Прочие необеспеченные кредиторы, а также фирмы приобретшие долю в компании в обмен на долговые обязательства являются собственниками остальной 15%-й доли.
План по реструктуризации должен быть также одобрен регуляторными органами США. Его рассмотрение планируется завершить к концу сентября.
Согласно новому плану компания становится прибыльной при четырех пусках в год. Ранее в этом месяце Sea Launch уже объявляла о подписании твердого контракта на запуск спутника с компанией AsiaSat между 2012-2014.
На прошлой неделе было подписано соглашение с компанией EchoStar Satellite Services о запуске до трех спутников. Это соглашение продлевает уже имевшееся, при  выполнения некоторых условий со стороны Sea Launch, одним из которых является сегодняшнее решение суда.
В настоящий момент манифест Sea Launch включает четыре твердых контракта - с AsiaSat, Intelsat и два спутника для Eutelsat.
Следующий запуск (Land Launch) планируется в январе-марте 2011 со спутником  Intelsat 18 на борту. Запуск с морской платформы состоится в третьей четверти 2011. Ожидается подписание дополнительных контрактов в течении нескольких месяцев.
Energia Overseas также обязывается вложить $200 млн. долл. в оборотный капитал компании для заказа "железа" у поставщиков в США, России и на Украине.
Боинг поставляет головные обтекатели, Энергия обеспечивает разгонный блок ДМ и украинские КБ Южное и Южмаш производят первую и вторую ступени ракеты.
